Terms of Service

The contract between FluxBilling and the operators of FluxBilling instances — whether on the managed Hosted Edition or the Self-Hosted Edition running on your own infrastructure. Read clause 01 carefully — using the Service is itself acceptance.

These Terms govern your access to and use of FluxBilling (“the Service”). By creating an account or using the Service, you enter into a binding agreement with us. If you do not agree, do not use the Service.

  1. 01

    Acceptance of Terms

    By accessing or using FluxBilling ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

    We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

    Definitions

    • "Service" refers to the FluxBilling platform, including all features, tools, and functionalities
    • "User," "you," or "your" refers to any individual or entity that accesses or uses the Service
    • "Account" refers to your registered FluxBilling account
    • "Content" refers to any data, information, or materials you upload, submit, or transmit through the Service
    • "Subscription" refers to your selected payment plan for accessing the Service
    • "Hosted Edition" refers to FluxBilling operated as a managed instance on infrastructure we control
    • "Self-Hosted Edition" refers to the FluxBilling software you install and run on infrastructure you control, under a License Key
    • "License Key" refers to the unique key issued to you that activates and validates one Self-Hosted Edition instance

    Account Terms

    Eligibility
    You must be at least 18 years old and capable of forming a binding contract to use the Service. By creating an account, you represent that you meet these requirements.
    Account Registration
    You must provide accurate, current, and complete information during registration. You are responsible for maintaining the accuracy of this information.
    Account Security
    You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach.
    One Account Per Entity
    Each individual or business entity may maintain only one account unless explicitly authorized by FluxBilling. Accounts may not be transferred or sold to other parties.

    Service Description

    FluxBilling provides a hosting and billing automation platform that includes:

    • Automated billing and invoicing
    • Client management and portal
    • Service provisioning and automation
    • Payment processing integration
    • Reporting and analytics
    • Plugin ecosystem for extended functionality

    The Service is available in two deployment models: the Hosted Edition, operated by us as a managed instance, and the Self-Hosted Edition, licensed for installation on your own infrastructure on eligible plans (see clause 07). Unless a clause states otherwise, these Terms apply to both editions.

    We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of significant changes when possible.

    Acceptable Use Policy

    You agree not to use the Service to:

    • Violate any applicable laws, regulations, or third-party rights
    • Transmit spam, malware, or other malicious content
    • Attempt to gain unauthorized access to the Service or other systems
    • Interfere with or disrupt the Service or its infrastructure
    • Use the Service or the FluxBilling software without a valid, active license or Subscription
    • Resell or redistribute the Service without authorization
    • Copy, share, publish, leak, or distribute the FluxBilling software, its source code, installer, container images, or License Keys, in whole or in part
    • Circumvent, disable, or interfere with license validation, usage metering, or other enforcement mechanisms
    • Create, use, distribute, or assist others in creating cracked, nulled, patched, or otherwise unauthorized copies of the software
    • Use the Service for any illegal or fraudulent activities
    • Harvest or collect user data without consent
    • Impersonate any person or entity

    Violation of this policy may result in immediate suspension or termination of your account.

    Payment Terms

    Subscription Billing
    Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are non-refundable unless otherwise stated.
    Automatic Renewal
    Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
    Price Changes
    We may change our pricing at any time. We will provide at least 30 days notice before any price increase takes effect for existing subscribers.
    Failed Payments
    If a payment fails, we will attempt to process it again. After multiple failed attempts, your account may be suspended until payment is resolved.
    Refunds
    We offer a 14-day money-back guarantee for new subscriptions. After this period, fees are non-refundable. Contact support for refund requests.
    Self-Host Fee
    The Self-Hosted Edition is available on eligible plans for a one-time fee charged in addition to your recurring Subscription, which continues to be billed for as long as you hold the license. The one-time fee is covered by the 14-day money-back guarantee only if the License Key has not been activated.
    Taxes
    Fees do not include taxes. You are responsible for any applicable taxes based on your location.

    Self-Hosted Edition License

    This clause applies if you purchase the Self-Hosted Edition. It governs your use of the FluxBilling software on your own infrastructure.

    License Grant
    Subject to these Terms and payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to install and run one production instance of the FluxBilling software per License Key, on infrastructure you own or control, for the duration of your active Subscription.
    Not Perpetual
    The Self-Hosted Edition license is not a perpetual license. It remains valid only while your Subscription is active and in good standing. If your Subscription lapses, is cancelled, or is terminated, the license ends and the software will cease to function after a short grace period.
    License Validation
    The software periodically contacts our license servers to validate your License Key and report limited, aggregate usage telemetry (described in our Privacy Policy). Your instance requires outbound network connectivity for this purpose and tolerates only short offline periods. Blocking, tampering with, or circumventing validation or telemetry is a material breach of these Terms.
    Updates & Distribution
    While your Subscription is active, you receive access to software updates and container images via per-instance, time-limited credentials. These credentials, the installer, and the software images are licensed to you alone and may not be shared with, redistributed to, or made accessible to any third party.
    Restrictions
    You may not reverse engineer, decompile, or modify the software; remove or disable any license enforcement or telemetry component; use one License Key for more than one production instance; or resell, rent, sublicense, or otherwise commercialize the software itself.
    Your Infrastructure
    You are solely responsible for the hosting environment, operating system, network security, backups, and all data stored on your self-hosted instance — including your end customers’ personal data. We have no access to, and no responsibility for, data stored on Self-Hosted Edition instances.

    Unauthorized Use & Anti-Piracy

    The FluxBilling software is proprietary, copyrighted software. It is licensed, not sold. Any use of the software or the Service without a valid, active license or Subscription is unauthorized, constitutes copyright infringement and a material breach of these Terms, and is prohibited under applicable intellectual property and computer misuse laws.

    Prohibited Acts
    Without limiting clause 05, you may not: run any instance of the software without a valid License Key or Subscription; copy, publish, leak, upload, share, sell, or otherwise distribute the software, its source code, installer kits, container images, update artifacts, or License Keys to any third party; crack, null, patch, or modify the software to remove or defeat license enforcement; or knowingly assist, encourage, or provide tooling to any third party to do any of the above.
    Liability for Damages
    You are liable for all losses we suffer as a result of unauthorized use or distribution attributable to you, including lost license revenue, enforcement and investigation costs, and reasonable attorneys’ fees. Each unlicensed instance traceable to your account, credentials, or License Key is deemed a separate violation.
    Enforcement
    We actively monitor for unlicensed instances and unauthorized distribution, and we will pursue civil remedies — including injunctive relief and damages — and refer matters for criminal prosecution where applicable. We may also immediately revoke License Keys and terminate accounts involved in violations, without refund.
    Indemnification
    You agree to indemnify and hold FluxBilling harmless from any claims, losses, or expenses arising from your breach of this clause, your unauthorized use or distribution of the software, or any third party’s use of credentials or software copies obtained from you.
    Reporting
    If you become aware of leaked License Keys, credentials, or unauthorized copies of the software, you must notify us promptly. Good-faith reports of piracy are appreciated and will not be used against the reporter.

    Intellectual Property

    Our Rights
    FluxBilling and its associated trademarks, logos, and content are owned by us and protected by intellectual property laws. You may not use our branding without written permission.
    Software Ownership
    The FluxBilling software, including its source code, object code, container images, documentation, and all updates, is and remains our exclusive property. No ownership rights are transferred to you under any plan or edition. You receive only the limited license rights expressly granted in these Terms; all other rights are reserved. Any reproduction, distribution, public availability, or creation of derivative works without our written permission is an infringement of our intellectual property rights.
    Your Content
    You retain ownership of Content you upload to the Service. By using the Service, you grant us a limited license to store, process, and display your Content as necessary to provide the Service.
    Feedback
    If you provide feedback or suggestions about the Service, you grant us the right to use such feedback without compensation or obligation to you.

    Limitation of Liability

    Disclaimer
    THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
    Liability Cap
    TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
    Exclusions
    WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
    No Cap on Your Breach
    Nothing in this clause limits YOUR liability to us for infringement of our intellectual property rights, unauthorized use or distribution of the software, breach of the license restrictions in clauses 05, 07, and 08, or your indemnification obligations.

    Termination

    By You
    You may cancel your subscription and close your account at any time through your account settings or by contacting support.
    By Us
    We may suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in conduct that harms other users or the Service. Accounts involved in unauthorized use or distribution of the software (clause 08) may be terminated immediately and without refund.
    Effect — Hosted Edition
    Upon termination, your right to access the Service ends immediately. You will have 30 days to export your data before it is permanently deleted. Provisions that by their nature should survive termination will remain in effect.
    Effect — Self-Hosted Edition
    Upon termination or lapse of your Subscription, License Key validation ceases and the software stops functioning after the grace period. All data on your self-hosted instance remains on your infrastructure and under your control — we never hold it and cannot delete it. You may export it at any time, before or after termination.

    Governing Law

    These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration or in courts of competent jurisdiction.

    If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
